TBM Charity Foundation – Terms, Policies & Governance
Effective Date: 5 May 2026
This document sets out the governance framework of TBM Charity Foundation (“the Charity”) in accordance with the laws of England and Wales and guidance issued by the Charity Commission for England and Wales.
1. About the Charity

Jurisdiction: England and Wales
The Charity operates exclusively for charitable purposes and is independent from any commercial entity, including the TBM Business Directory.
2. Purpose
The Charity exists to:
- Support charitable causes
- Allocate funds responsibly
- Ensure public benefit
All decisions are made in the best interests of the Charity and its beneficiaries.
3. Funding Sources
The Charity may receive funds from:
- Donations from the Directory
- Direct donations
- Other lawful sources
No funding source:
- Creates any entitlement
- Influences decision-making
- Gives rise to control over funds
4. Relationship with the Directory
- The Directory and Charity are legally separate
- The Directory may donate funds in accordance with its own Terms
For clarity:
- Directory members are not donors to the Charity
- No third party has any claim over Charity funds
The timing, structure, and amount of any donations:
- Are determined by the Directory
- Do not bind the Charity
5. Nature of Donations
- Donations are pooled
- Not allocated to individuals
- May be held before distribution
All donations are irrevocable and non-refundable.
6. Use and Distribution of Funds
6.1 Trustee Control
All decisions are made solely by the Charity’s trustees.
6.2 Criteria
Funds are allocated based on:
- Charitable impact
- Alignment with objectives
- Due diligence
6.3 Timing
- No fixed distribution schedule
- Funds may be held until appropriate
6.4 Absolute Discretion
Trustees retain full discretion over:
- Causes
- Timing
- Allocation
7. Governance & Compliance
Trustees will:
- Comply with legal duties under charity law
- Follow guidance from the Charity Commission
- Act independently
- Avoid conflicts of interest
8. Conflicts of Interest
Where overlap exists with the Directory:
- Conflicts must be declared
- Trustees act solely in the Charity’s interests
9. Transparency
The Charity will:
- Maintain accurate records
- Meet reporting obligations
- Demonstrate accountability
10. No Rights for Donors or Members
- No donor or Directory member can direct funds
- No guarantee of outcomes
- No attribution of donations
11. Liability
The Charity accepts no liability for any indirect or consequential loss.
12. Data Protection
The Charity operates in compliance with UK GDPR.
13. Amendments
The Charity may update this document at any time.
14. Governing Law
This document is governed by the laws of England and Wales.
